These Terms of Service ("Terms") govern your access to and use of the BrickHatch website, applications, and services (collectively, the "Platform"). The Platform is owned and operated by Sencorp LLC ("BrickHatch", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

• User, you, or your: Any individual or entity that accesses or uses the Platform
• Buyer: A User who purchases items through the Platform
• Seller: A User who lists or sells items through the Platform
• Listing: Any item or product offered for sale on the Platform
• Order: A completed purchase transaction between a Buyer and Seller

BrickHatch operates an online marketplace platform that facilitates transactions between independent third-party Sellers and Buyers.

• BrickHatch is not the seller, reseller, agent, or distributor of any listed items
• BrickHatch does not manufacture, own, inspect, verify, store, or take possession of items listed on the Platform
• All listings are created and controlled solely by Sellers
• Transactions are strictly between Buyers and Sellers
• BrickHatch is not a party to any sale, purchase, contract, or agreement between Users

BrickHatch's role is strictly limited to providing a technology platform for listing, discovery, communication, and payment facilitation.

To use the Platform, you must meet all applicable legal requirements in your jurisdiction.

• You must be at least 13 years old (or the minimum digital consent age required in your jurisdiction, if higher)
• If you are under 18, you may only use the Platform under the supervision and consent of a parent or legal guardian
• You represent and warrant that you have full legal capacity to enter into binding agreements

BrickHatch reserves the right to refuse access to any User at any time, for any reason, without liability.

To access certain features, you must register an account.

You agree and acknowledge that:

• All information provided is accurate, current, and complete
• You will maintain the confidentiality of your login credentials
• You are fully responsible for all activity conducted under your account, whether authorized or not
• You will immediately notify BrickHatch of any unauthorized use or security breach

BrickHatch may, at its sole discretion and without prior notice, suspend, restrict, or terminate accounts if it determines, or reasonably suspects, any of the following:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Risk to the Platform, Users, or third parties
• Legal or regulatory exposure

BrickHatch shall not be liable for any loss or damage arising from account suspension or termination.

Sellers are solely and exclusively responsible for all Listings, including but not limited to:

• Accuracy and completeness of all descriptions
• Item condition, quality, and authenticity
• Pricing, availability, and inventory management
• Compliance with all applicable laws, regulations, and tax obligations
• Ensuring they have legal rights to sell listed items

Sellers expressly represent and warrant that all Listings are lawful and non-infringing.

Prohibited conduct includes listing or attempting to sell:

• Counterfeit, replica, or unauthorized goods
• Stolen, fraudulent, or illegally obtained property
• Items violating intellectual property rights
• Any items prohibited by applicable law or regulation

BrickHatch does not independently verify Listings and assumes no responsibility for their accuracy, legality, or safety.

BrickHatch reserves the absolute right to remove, modify, restrict, or disable any Listing at any time, with or without notice, for any reason or no reason, including potential legal risk.

All transactions are strictly between Buyers and Sellers.

• Sellers are solely responsible for order fulfillment, packaging, shipping, and delivery
• BrickHatch does not guarantee that any Listing will result in a completed sale
• BrickHatch does not guarantee Seller performance, shipping times, or item condition

Any disputes arising from transactions are solely between Buyer and Seller, except where BrickHatch elects, in its sole discretion, to intervene.

BrickHatch utilizes third-party payment processors to facilitate transactions.

By using the Platform, you expressly authorize:

• Payment processing on your behalf
• Collection of applicable fees by BrickHatch or its payment partners
• Transfer of funds between Buyers and Sellers through designated systems

All fees are disclosed on the Platform and may include, without limitation:

• Transaction fees
• Processing fees
• Platform service fees

Fees are non-refundable except where explicitly required by applicable law.

BrickHatch reserves the right to modify fees at any time.

Payment processing services are provided by independent third-party providers (including but not limited to Stripe).

BrickHatch makes no representations or warranties regarding:

• Processing speed or reliability
• Approval or denial of payments
• Verification or identity checks
• Account limitations imposed by payment providers

All payment-related risks, including delays, holds, reversals, and failures, are assumed by the User.

Seller payouts are subject to third-party processor rules and may be delayed or withheld for any of the following reasons:

• Identity verification requirements
• Fraud prevention or risk reviews
• Chargebacks or disputes
• Compliance checks or legal obligations
• Technical or banking delays outside BrickHatch control

BrickHatch is not responsible for payout delays caused by third parties.

BrickHatch reserves the right to suspend or permanently withhold payouts where fraud, abuse, or legal risk is suspected.

Sellers bear sole responsibility for all aspects of fulfillment, including shipping and delivery.

BrickHatch assumes no responsibility or liability for:

• Delayed shipments
• Lost, stolen, or misdirected packages
• Damaged goods in transit
• Incorrect or incomplete address information provided by Buyers

Risk of loss transfers to the Buyer or Seller as determined by applicable law or Seller policy.

Users agree that:

• Disputes are primarily between Buyers and Sellers
• BrickHatch has no obligation to resolve disputes
• Any intervention by BrickHatch is discretionary and non-binding

BrickHatch may, at its sole discretion:

• Issue partial or full refunds
• Reverse transactions
• Freeze funds
• Suspend accounts involved in disputes

BrickHatch’s decisions are final and not subject to appeal.

Chargebacks, payment reversals, or dispute abuse may result in permanent account termination.

Users are strictly prohibited from:

• Circumventing Platform fees
• Soliciting or facilitating off-platform transactions
• Moving negotiations or payments outside BrickHatch

Any violation may result in immediate suspension, termination, and forfeiture of funds held.

BrickHatch may also pursue legal remedies for fee circumvention or fraud.

Users retain ownership of content they submit but grant BrickHatch a perpetual, worldwide, irrevocable, royalty-free, sublicensable license to:

• Use, host, store, reproduce, modify, adapt, translate, and distribute such content
• Display content publicly or in promotional materials
• Use content for Platform operation, improvement, analytics, and marketing

Users represent and warrant that:

• They own or have full rights to the content
• Content does not infringe third-party rights
• Content complies with all applicable laws

BrickHatch is not liable for User Content and may remove it at any time.

All Platform software, design, branding, and functionality are the exclusive property of Sencorp LLC.

Users are granted a limited, revocable, non-transferable license to use the Platform solely for its intended purpose.

Unauthorized copying, reproduction, scraping, or derivative use is strictly prohibited.

All trademarks belong to their respective owners.

LEGO® is a trademark of the LEGO Group. BrickHatch is not affiliated with, endorsed by, or sponsored by the LEGO Group.

Users expressly agree not to:

• Scrape, crawl, or harvest data from the Platform
• Use bots, spiders, or automated systems
• Attempt to reverse engineer or replicate Platform functionality
• Bypass security or access controls

BrickHatch reserves the right to pursue injunctive relief, damages, and legal action for violations.

BrickHatch complies with applicable intellectual property laws.

Valid notices must include:

• Identification of copyrighted work
• Identification of infringing material and its location
• Contact information
• Good faith statement of unauthorized use
• Statement under penalty of perjury regarding accuracy

BrickHatch may remove content and terminate repeat infringers without notice.

The Platform may integrate or rely on third-party services.

BrickHatch does not:

• Endorse third-party services
• Guarantee their availability or performance
• Accept liability for third-party failures, actions, or policies

Users access third-party services at their own risk.

Beta features are provided on an experimental basis. They may be modified, suspended, or discontinued at any time without prior notice. Beta features may be incomplete, contain errors, or behave inconsistently. Use of beta features is voluntary and at your own risk.

BrickHatch makes no guarantees regarding the performance, reliability, or continued availability of beta features, and may remove or limit access to such features for any User at any time.

To the maximum extent permitted by applicable law, the Platform and all related services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.

BrickHatch expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or freedom from viruses or harmful components

BrickHatch does not warrant that:

• The Platform will meet your requirements
• The Platform will be available at any specific time or location
• Defects or errors will be corrected

You use the Platform at your own discretion and risk.

To the maximum extent permitted by law, BrickHatch, Sencorp LLC, and their affiliates, officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Loss of profits
• Loss of revenue
• Loss of data
• Business interruption
• Loss of goodwill
• Replacement service costs

arising out of or related to your use of (or inability to use) the Platform.

This includes claims arising from:

• Use or misuse of Listings
• Transactions between Buyers and Sellers
• Third-party services or integrations
• Unauthorized access to your account

In all cases, the total aggregate liability of BrickHatch for any claim arising out of or relating to the Platform shall not exceed the greater of:

• One hundred U.S. dollars (US $100), or
• The total fees paid by you to BrickHatch in the twelve (12) months preceding the event giving rise to the claim

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless BrickHatch, Sencorp LLC, and their affiliates, officers, directors, employees, agents, and partners from and against any and all claims, demands, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

• Your access to or use of the Platform
• Your Listings, content, or transactions
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights, including intellectual property rights

BrickHatch reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification.

By using the Platform, you consent to receive communications from BrickHatch electronically, including but not limited to:

• Legal notices
• Account notifications
• Transactional updates
• Security alerts
• Policy or Terms updates

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

You are responsible for maintaining accurate contact information in your account.

You may not access or use the Platform if you are located in, or are a resident of, any jurisdiction subject to comprehensive U.S. government sanctions or embargoes, or if you are listed on any applicable restricted party list.

You agree to comply with all applicable export control and sanctions laws and regulations.

You represent and warrant that:

• You are not subject to sanctions or trade restrictions
• You will not use the Platform for prohibited end uses
• You will not facilitate violations of applicable export laws

BrickHatch shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to:

• Natural disasters
• Power failures
• Internet or telecommunications outages
• Government actions or regulations
• Labor disputes or strikes
• War, terrorism, or civil unrest
• Pandemics or public health emergencies
• Failures of third-party service providers

Performance obligations shall be suspended for the duration of such events.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration, administered by the American Arbitration Association (AAA), in accordance with its applicable rules.

You agree that:

• Arbitration shall be conducted on an individual basis only
• You waive the right to participate in a class action, collective action, or class-wide arbitration
• Arbitration shall replace litigation in court, except for small claims eligible under applicable law

Each party shall bear its own legal costs unless otherwise required by law or arbitration rules.

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

BrickHatch reserves the right to modify, update, or replace these Terms at any time, at its sole discretion.

When changes are made:

• The updated Terms will be posted on the Platform
• The “Last Updated” date will be revised

Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Platform.

Upon termination or discontinuation of your account or use of the Platform, the following sections shall survive:

• Intellectual Property
• Limitation of Liability
• Indemnification
• Dispute Resolution (Arbitration)
• Governing Law
• Any other provisions that by their nature should reasonably survive termination

Survival ensures continued enforceability of rights and obligations that inherently extend beyond account termination.
